By accessing or using our services, you agree to be bound by these Terms and Conditions (the “Terms”), which outline the rights, obligations, and responsibilities governing your use of our website, services, and any associated applications (collectively, the “Service”). These Terms constitute a binding agreement between you and AGT Assist, LLC (“AGT Assist,” “we,” “our,” or “us”). Please review them carefully.

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, AGT Assist’s Privacy Policy, and any additional guidelines or policies we may provide. If you do not accept these Terms, you must refrain from using our Service. If you are entering these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. The Service is only available to those who have reached the age of majority in their jurisdiction and are fully capable of complying with these Terms.

AGT Assist provides a range of marketing services tailored to meet your business needs, including but not limited to lead generation, media buying, appointment scheduling, and custom marketing solutions designed to fit your unique objectives and goals. These Services are provided in accordance with the specifications agreed upon in writing at the time of contract formation. We strive to deliver high-quality results, and our team will work closely with you to meet the agreed objectives. However, marketing results may vary based on external factors beyond our control.

As our client, you agree to provide accurate, complete, and up-to-date information as required for our Service delivery. You are expected to act in good faith and respond promptly to our requests for content, approvals, and information necessary to complete the project. Additionally, you confirm that any materials you provide do not infringe on the intellectual property or rights of any third parties. Failure to meet these obligations may impact the timelines, quality, and delivery of our Services, and AGT Assist cannot be held liable for any delays or issues resulting from incomplete or inaccurate client information.

If you create an account with AGT Assist (an “Account”), you are responsible for maintaining the security and confidentiality of your Account and any related content. You are fully responsible for any activity under your Account. Misleading, unlawful, or harmful content is prohibited and may lead to immediate account suspension or termination. You must notify us immediately if you become aware of any unauthorized use of your Account or any other breach of security. AGT Assist will not be liable for any losses or damages caused by unauthorized use of your Account.

For paid accounts (each a “Paid Account”), pricing is provided at the time of purchase. Fees are billed in advance and are non-refundable. There are no refunds or credits for partial months of service, unused services, or downgrades. AGT Assist reserves the right to modify billing rates upon thirty (30) days’ written notice via email or through posting updates to the Service. By subscribing to a paid plan, you authorize AGT Assist or our third-party payment processors (e.g., Stripe, PayPal) to store and charge your payment method for applicable fees, including those for additional services, usage beyond limits, and any applicable taxes. Should your payment method expire or fail, you agree to update it promptly. If you fail to do so, we reserve the right to suspend or terminate your Account until payment issues are resolved.

We recognize the importance of confidentiality regarding the business information you share with us. AGT Assist agrees to handle your information responsibly and restricts its access solely to our personnel who require it to deliver Services. We will not share, disclose, or distribute your information to third parties without your consent, except where legally required. Please be aware, however, that AGT Assist may use aggregate data (devoid of any identifying details) to analyze and enhance our services.

All content and materials we create and provide to you as part of the Service are the intellectual property of AGT Assist, including but not limited to designs, text, graphics, and technology. Upon final payment, we grant you a non-exclusive, non-transferable license to use the final deliverables solely for your own business purposes. AGT Assist reserves the right to use your project outcomes for our own promotional purposes unless otherwise agreed in writing.

While we strive to deliver exceptional results, AGT Assist does not guarantee specific outcomes from the use of our Services. We will not be held liable for any indirect, incidental, or consequential damages arising out of your use of or inability to use the Service, including lost profits, lost data, or damages from business interruptions, whether based on warranty, contract, tort, or any other legal theory, even if AGT Assist has been advised of the possibility of such damages.

You may terminate your Account at any time by providing written notice to AGT Assist. Upon termination, your access to the Service will cease, and any outstanding payments will remain due. AGT Assist reserves the right to terminate your access to the Service for violations of these Terms or at our sole discretion. Following termination, any licensed rights granted to you by AGT Assist will cease, and you agree to remove any proprietary information or materials associated with the Service.

These Terms will be governed by and interpreted according to the laws of the State of Kentucky, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or the Service will be resolved through binding arbitration in Kentucky and cannot be pursued as a class action. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

AGT Assist reserves the right to update or modify these Terms at any time, with or without notice. The most current version will be posted on our website, and continued use of the Service after any updates constitutes acceptance of the revised Terms.
